Code of Ethics

The Code of Ethics sets the minimum conduct expected across Azari when people make decisions, represent a group company, use company resources or deal with customers, colleagues and counterparties.

This page states Azari Holdings’ public policy position. Applicable law, contracts, regulatory requirements and more specific subsidiary procedures may impose additional or stricter requirements.

Integrity and lawful conduct

Act lawfully, honestly and in a way that can be explained if the decision is later reviewed. Commercial pressure, seniority or a client request does not justify deception, concealment or improper conduct.

Where legal or ethical requirements conflict or are unclear, seek appropriate advice and escalate before proceeding.

Respect and fair treatment

Treat colleagues, customers, suppliers and other people with dignity. Harassment, intimidation, discrimination, exploitation and retaliation are inconsistent with the group’s expectations.

Professional disagreement is acceptable; personal abuse and misuse of authority are not.

Conflicts of interest

Disclose a personal, family, financial or outside-business interest that could affect, or reasonably appear to affect, impartial judgement. Disclosure should happen before the person participates in the relevant decision where practical.

A disclosed conflict may be managed through recusal, independent approval, information barriers, changed responsibilities or another proportionate control.

Information and confidentiality

Protect confidential, personal, commercial and security-sensitive information. Use it only for a legitimate work purpose and share it only with people who have a justified need to know.

Do not use non-public information for personal advantage or to benefit another person improperly.

Company assets and authority

Use company money, systems, property, brands and delegated authority for legitimate purposes. Records, expenses and approvals should reflect what actually happened.

Do not make commitments outside your authority or imply approval from Azari where none has been given.

Speaking up and accountability

Raise suspected bribery, fraud, serious misconduct, retaliation, unsafe conduct or other material concerns through an appropriate route. A person reporting in good faith is not expected to prove the allegation before it can be reviewed.

Leaders are expected to respond proportionately, preserve relevant evidence and avoid retaliation against people who raise genuine concerns.
